Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Google Docs add-on "Work Smarter AI" (the "Add-on"), provided by ai-team gmbh, Switzerland ("we", "us", or "our"). By installing or using the Add-on, you agree to be bound by these Terms.

1. Service Provision - Best Effort Basis

We provide the Work Smarter AI Add-on on a "best effort" basis. While we strive to ensure the Add-on is available and functions correctly, we do not guarantee uninterrupted service, accuracy of results, or error-free operation. The availability and performance of the Add-on are dependent on various factors, including the performance of third-party services (such as Google Workspace and Anthropic's Claude API) and your internet connection.

2. Right to Modify or Stop Service

We reserve the right to modify, suspend, or stop providing the Add-on, or any part of it, at any time and for any reason, without prior notice or liability to you. This includes the right to terminate or modify any free usage tiers or paid subscription plans.

3. Reference to Privacy Policy

Your use of the Add-on is also governed by our Privacy Policy, which is incorporated herein by reference. By agreeing to these Terms, you also agree to the terms of our Privacy Policy. Please review our Privacy Policy at www.ai-team.ch/work-smarter-privacy-policy to understand how we collect, use, and disclose your information.

4. Usage Tiers and Billing

The Work Smarter AI Add-on may offer different usage tiers, including a limited free usage tier and paid usage based on pre-paid token consumption. Furthermore a periodic base fee may be charged, e.g. monthly subscription.

• Free Usage: A limited amount of free usage may be available. The specifics of the free usage limits will be detailed within the Add-on interface or on our website. We reserve the right to change or discontinue the free usage tier at any time.
• Paid Usage (Token-Based): Paid usage of the Add-on is based on the consumption of pre-paid tokens. You must purchase tokens to access features or usage beyond the free tier limits. Token balances decrease based on your usage of the Add-on's features.

5. Token Usage and Billing Information

Your current token balance and usage will be reported within the Work Smarter AI Add-on interface. For a detailed usage history and billing information related to your token purchases and consumption, please contact our support team via our contact page: www.ai-team.ch/contact.

6. Acceptable Use

The Work Smarter AI Add-on is intended for use in daily office work, writing tasks, and private correspondence. You agree not to use the Add-on for any purpose that is unlawful or prohibited by these Terms.

Specifically, you shall not use the Add-on to generate, process, or disseminate any content that is:

• Unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Infringing on any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
• Harmful to minors.
• Promoting illegal activities or providing instructions on how to conduct illegal activities.

Abuse of the service, including but not limited to attempting to generate inappropriate content or violating these acceptable use guidelines, may result in your access to the Add-on being blocked or terminated at our sole discretion, without prior notice.

7. Third-Party Links

The Add-on may contain links to third-party websites or services that are not owned or controlled by ai-team gmbh. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that ai-team gmbh shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.

8. Disclaimer of Warranties

The Add-on is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Add-on is at your sole risk. You are the sole responsible for the results created with the Add-on. The Add-on is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

ai-team gmbh its subsidiaries, affiliates, and its licensors do not warrant that a) the Add-on will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Add-on is free of viruses or other harmful components; or d) the results of using the Add-on will meet your requirements.

9. Indemnification

You agree to defend, indemnify and hold harmless ai-team gmbh and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Add-on, by you or any person using your account; b) a breach of these Terms, or c) Content posted on the Add-on.

10. Termination

We may terminate or suspend your access to the Add-on immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Add-on will immediately cease.

If you wish to terminate these Terms, you may simply discontinue using the Add-on.

11. User Responsibilities

You agree to use the Add-on in compliance with these Terms, all applicable laws and regulations, and the Google Workspace Terms of Service and Policies. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

12. Intellectual Property

The Add-on and its original content, features, and functionality are and will remain the exclusive property of ai-team gmbh and its licensors.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ai-team gmbh, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Add-on; (ii) any conduct or content of any third party on the Add-on; (iii) any content obtained from the Add-on; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

14. Waiver and Severability

The failure of ai-team gmbh to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Add-on and supersede and replace any prior agreements we might have between us regarding the Add-on.

15. Entire Agreement

These Terms constitute the entire agreement between you and ai-team gmbh regarding your use of the Add-on and supersede all prior and contemporaneous written or oral agreements between you and ai-team gmbh.

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.

17. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Add-on after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Add-on.
